Job Summary

The Lawyer will provide comprehensive legal support across contract management, legal compliance, and project operations. The role involves preparing, reviewing, and negotiating contracts, advising internal stakeholders on legal matters, monitoring regulatory changes, and supporting dispute prevention and claims management to safeguard the Company's interests.

Key Responsibilities

• Provide legal support to the Legal & Contracts Department on matters related to Vietnamese laws and regulations.

• Work closely with internal teams and relevant stakeholders throughout the entire contract lifecycle.

• Prepare, review, negotiate, and administer various types of contracts, including construction subcontracts, procurement contracts, partnership agreements, supply contracts, and installation contracts.

• Ensure contractual terms adequately protect the Company's legal and commercial interests.

• Monitor changes in Vietnamese laws and regulations relevant to the Company's business and provide timely legal updates to management.

• Provide practical, commercially focused legal advice to business units on legal and contractual matters.

• Support project teams in resolving legal issues arising during project execution.

• Conduct legal research and prepare legal opinions, reports, correspondence, notices, and other legal documents.

• Respond promptly to contract-related inquiries from internal departments.

• Identify potential contractual risks and claims by coordinating with project teams and relevant departments.

• Draft contractual notices, official letters, and legal correspondence to clients, subcontractors, suppliers, and other counterparties.

• Support dispute avoidance and claims management activities.

• Perform other duties as assigned by the Legal & Contracts Department.

Education

• Bachelor's Degree in Law is required.

• Master's Degree in Law (LL.M.) is an advantage.

Experience

• Minimum 10 years of relevant experience in legal and contract management.

• Solid experience in construction, EPC, or large-scale infrastructure projects is highly preferred.

• Proven experience in preparing, reviewing, negotiating, and administering construction, procurement, partnership, supply, and installation contracts.

• Experience working with foreign-invested enterprises (FDI) and cross-border contractual practices is an advantage.

Knowledge & Skills

• Strong knowledge of Vietnamese Civil Law, Commercial Law, Construction Law, Labor Law, and Investment Law.

• Experience with FIDIC contracts is highly preferred.

• Strong expertise in construction law and construction contracts.

• Familiarity with dispute resolution procedures, claims management, and litigation processes in Vietnam.

• Ability to interpret and apply laws, regulations, and government circulars to business operations.

• Excellent contract drafting and legal writing skills in both Vietnamese and English.

• Strong legal research, analytical, and problem-solving skills with excellent attention to detail.

• Excellent negotiation, communication, and interpersonal skills.

• Strong commercial awareness and the ability to provide practical legal solutions to business challenges.

• High level of integrity, professionalism, and confidentiality.

• Strong organizational and time management skills with the ability to manage multiple priorities under tight deadlines.

Language

• Proficiency in both written and spoken English.
