Tuyển dụng Legal Executive (1 Year contract) tại Hồ Chí Minh

JOB PURPOSE

To provide legal solutions to the business and operational teams of the organisation to ensure that the interests of the organisation are legally protected and vested in at all times, specifically in respect of regional Equity Broking.

PRINCIPLE ACCOUNTABILITIES:

*Provide legal advice and perform legal research/legal update

- Do legal research on legal documents and provide legal advice/opinion relating to all aspects of the MSVN’s business activities;

- Cooperate with other Departments and business units to identify legal issues/legal risk relating to the business activities of MSVN;

- Make the legal regulatory update/training to all MSVN’s staffs for their awareness of the regulations.

*Review and give advice on the draft legal documents when required by the Vietnamese authority relating to securities and securities market.

- Cooperate with other Departments in reviewing the draft legal documents;

- Give advice/recommendation to relevant Departments upon receiving authorities’ amendment/revision on the drafts of legal documents. Accuracy and timely.

*Cooperate with other Departments in the development of new products for Retails, Institutional, IB&A, FIBD, E-Commerce, ECD.

- Provide legal support to structure new Products proposed by business teams; highlight the legal risk and provide advice/recommendation to avoid/mitigate the aforesaid risk;

- Draft/review templates/forms of contracts/documents for new products.

*Review and revise all type of agreements/documents that bind MSVN in contractual relation.

- Review agreements/documents and support negotiation upon requirement of relevant Departments; highlight the legal risk and provide advice/ recommendation to avoid/mitigate the said risk.

- Manage/ update current forms/templates, and draft new forms/templates of agreements/documents of MSVN to comply with local laws and regional requirement as well as support business

*Consult with and supervise external counsels for legal matters and litigation.

- Support on-boarding process of external counsels and update the changes of information of external counsels upon request of Regional Legal.

- Contact external lawyers to handle legal matters and litigation;

- Provide documents if reasonably required by the external lawyers;

- Monitor and follow up legal advice and legal procedure which be performed by external lawyers. Effectiveness of legal services provided by the external lawyers.

*Litigation works

- Prepare the petition to the Court/Arbitration;

- Join the working sessions at the Court/Arbitration;

- Handle the works in judgment enforcement stage.

*Licensing works

- Prepare dossiers and follow up legal procedure to apply, amend, and supplement licenses and business registration certificate of MSVN to local authorities.

*Report to Head of Legal

- Timely make/update reports as per request of Head of Legal.

Qualification

- Graduated University of Laws

- Knowledge in Securities and Commercial law, financial market

- Knowledge in investment banking, capital market services & product.

- At least two (02) years of experience working in legal field/securities market.

- Experience working in law firm is an advantage.

- Fluent in English (Listening, Speaking, Reading, Writing).

- Good communication skill.

- Enthusiastic, dynamic, presentation capabilities, analytical ability, teamwork, hardworking, working with high pressure.

- Good in problem solving skills.
