I. JOB PURPOSE

The Head of Legal will serve as a strategic legal advisor to the CEO and the Board of Directors, ensuring all business operations, strategic investments, and content distribution comply with Vietnamese and international laws. This role is responsible for establishing the company's internal regulatory framework, mitigating system-wide legal risks, and safeguarding the company's core intellectual property (IP), digital assets (OTT/Streaming), and telecommunications infrastructure.

II. KEY RESPONSIBILITIES

1. Strategic Legal Advisory & Corporate Governance

• Provide sound, strategic legal counsel to senior leadership on corporate governance, business models (Media Tech, OTT/FAST channels), and strategic partnerships.

• Direct the development, optimization, and implementation of the company's internal regulatory frameworks, policies, and operational guidelines to ensure absolute compliance with statutory laws.

• Continuously monitor, analyze, and interpret newly issued or upcoming laws and regulations (Enterprise Law, Telecom Law, Cinema Law, Cybersecurity Law, Advertising Law) that may impact the company’s business ecosystem.

2. Contract Management, Intellectual Property (IP) & Copyright Protection

• Supervise and lead the drafting, reviewing, and negotiation of complex commercial agreements, including high-value international content licensing, revenue-sharing contracts with telcos, digital monetization agreements, and procurement contracts.

• Design legal safeguards to protect the company's core intellectual property rights, trademarks, and self-produced original content formats against copyright infringement or digital piracy.

• Provide robust legal oversight and mitigate risks arising from signed contracts; coordinate cross-functionally to resolve commercial disputes efficiently.

3. Licensing, Compliance Auditing & Risk Management

• Oversee the preparation, submission, and maintenance of all necessary corporate dossiers to competent authorities for applying, amending, or renewing television, broadcasting, telecommunications, and digital platform licenses/registrations.

• Establish an internal compliance audit mechanism to proactively identify, assess, and manage operational and legal risks across all departments (Content Production, Technology, Sales, and Marketing).

• Act as the company's official legal representative in dealing with regulatory bodies, competent authorities, and handling any litigation or legal disputes.

4. Team Leadership & Capability Development

• Lead, mentor, and manage the internal legal team, distributing workloads efficiently and building capability in digital media and AdTech laws.

• Organize internal training sessions to raise legal awareness and compliance culture across the organization.

1. Education & Qualifications

• Bachelor’s Degree or higher in Law.

• A valid Lawyer Practicing Certificate is highly preferred.

2. Experience

• Minimum of 5–7 years of working experience in corporate legal roles, with at least 2–3 years in a managerial or team-lead position.

• Proven track record in corporate commercial law, investment, and compliance auditing.

• Industry Experience: Strong preference for candidates with direct experience as an in-house counsel in the Media, Television, OTT/Streaming platforms, Telecommunications, or Digital Tech industries.

3. Professional Skills & Knowledge

• Deep and solid knowledge of the Vietnamese legal system, with specialized expertise in Intellectual Property (IP) Law, Telecom Law, Cinema/Press Law, and Cybersecurity Law.

• Exceptional skills in contract drafting, legal research, structuring complex commercial deals, and commercial negotiation.

• Languages: Native Vietnamese and fully fluent in professional/commercial English (both spoken and written). Ability to review and negotiate international treaties and English contracts independently.
