1. Core Responsibilities (Contract & Transaction Management)

- Drafting & Reviewing: Draft, review, and finalize all types of business contracts, agreements, and transaction documents between the Company (including its subsidiaries) and customers, vendors, distributors, or third parties.

- Contract Negotiation: Actively participate in negotiating contract terms directly with suppliers, distributors, and other business partners to protect the Company's interests.

- Template Standardization: Draft, unify, and standardize contract templates and standard corporate documents (e.g., Powers of Attorney, Authorization Letters, Letters of Delegation).

- Contract Monitoring: Evaluate and monitor ongoing contract performance to determine the necessity for contract amendments, extensions, or renewals, and ensure strict compliance with contractual obligations.

- Global Alignment: Conduct initial reviews of local contracts and submit them through the internal system for final legal approval by the Regional Headquarters (RHQ) Legal Part or Global Headquarters (HQ) Contract Group.

2. Licensing, Compliance & Regulatory Works

- State Authority Relations: Prepare required application dossiers, draft official correspondence/letters to competent State Authorities, and actively follow up on the progress to complete legal procedures (including updating/amending the Company’s ERC, IRC, or project-related licenses).

- Corporate Policies: Participate in developing, preparing, and implementing internal policies and procedures related to legal, compliance, and regulatory matters.

- Translation Work: Translate various corporate and legal documents (such as business contracts, agreements, labor contracts, and internal regulations) from Vietnamese into English and vice versa with high accuracy.

- Dispute Resolution: Monitor, review, and follow up on ongoing legal cases, claims, and disputes of the Company (if any).

- External Liaison: Coordinate with external lawyers and professional consulting service providers on complex legal matters.

- Risk Mitigation: Liaise with cross-functional departments to identify legal risks and ensure appropriate action plans are implemented in daily business operations.

- Legal Advisory & Updates: Deliver timely, practical legal advice to internal departments; provide analysis on newly issued laws and regulations, and control the internal implementation of updated regulations.

- Education: Bachelor’s Degree in Law (LL.B) from a recognized university.

- Experience: at least 3 years of professional legal experience, with practical legal and commercial expertise (experience in the logistics industry is a strong advantage).

- Professional Certification: Possession of a Lawyer Practicing Certificate (Bar admission) is a strong advantage.

- Skills:

+ Fluent in English (listening, speaking, reading, writing), with excellent legal translation skills.

+ Good negotiation, communication, and contract-drafting skills.

- Other Duties: Perform any other duties, reporting, or special projects as assigned by the part leader, group leader, or manager.
