Tuyển dụng Legal Counsel tại Hồ Chí Minh

Main responsibility:

- Serve as in-house legal adviser to the ACCIONA-VINCI Joint Venture on Package XL-02 and report to the Contracts Manager and Project Director.

- Interpret the Contract, amendments, Dispute Board decisions and applicable Vietnamese law for project decisions and correspondence.

- Draft and review notices, Employer and EPMR letters, amendments, settlements, subcontracts and other project agreements.

- Protect the Contractor's position on changes, payment, taxes, time, liguidated damages, guarantees, commissioning and operation.

- Work with planning, technical, commercial and finance teams and external counsel to establish and substantiate legal positions.

- Monitor material deadlines, maintain confidential legal advice and promptly escalate legal and commercial risks.

Specific responsibilities:

Coordination

- Coordinate legal positions with project management, external counsel and the joint venture partners.

- Attend meetings with the Employer and EPMR; agree clear actions and follow up written records.

Contract interpretation and legal advice:

- Identify the operative text of the Contract, appendices, amendments and Dispute Board decisions.

- Advise on design development, variations, approvals, procurement and subcontract interfaces.

- Assess payment, interest, import/customs, VAT, guarantees and security issues with finance advisers.

- Advise on time for completion, delay, suspension, reduction in progress and liquidated damages.

- Review notices and procedural deadlines; maintain an accessible obligations and deadline register.

- Distinguish established facts from allegations and legal interpretation; identify evidence gaps.

- Review proposed instructions, determinations and comments for their contractual consequences

- Advise management on legal exposure, options for mitigation and practical settlement terms.

- Seek specials! Vietnamese-law, lax or arbitration advice where the issue requires it

Drafting and contract administration:

- Prepare clear, timely lelters, notices, amendments and internal advice supported by primary records.

Claims and dispute support:

- Review claims and Dispute Board submissions with the Dispute Expert; coordinate external counsel.

Governance and confidentiality:

- Protect legal privilege where applicable and maintain an orderly, access-controlled advice record.

Follow-up:

- Track required responses, approvals, payments and decisions; report overdue items to management.

Yêu cầu công việc

- Experience: Atleast 7 years of relevant post-qualification experience.

- Construction and infrastructure contracts, preferably international design-build or DBO projects.

- Strong contract drafting, legal analysis, negotiation and evidence-led correspondence skills.

- Experience with Vietnamese construction law and FIDIC/ENAA or multilateral-bank contracts preferred.

- Education: Bachelor of Laws (LL.B.) or equivalent legal degree; postgraduate qualification advantageous.

- Certificate: Admission to practise in a relevant jurisdiction; Vietnamese legal qualification preferred.

- Language: Professional written and spoken English and Vietnamese required.

- Able to draft persuasive English-language contract notices, advice and submissions.
